Aegis Harbor Terms of Service

These Terms of Service (“Terms”) govern access to and use of the Aegis Harbor services, websites, applications, and related materials (collectively, the “Services”) provided by Aegis Inside, Inc. (“Aegis Inside,” “Company,” “we,” “us,” or “our”).
By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you are authorized to bind that organization, and “you” includes that organization.
If you have a separate written agreement with us governing the Services, that agreement controls to the extent of any conflict with these Terms.
1. Eligibility and Authorized Use
You may use the Services only in compliance with applicable law, these Terms, and any written agreement governing the Services. You are responsible for ensuring that users you authorize access the Services only for legitimate business purposes and only within the permissions granted to them.
2. Accounts and Security
You are responsible for maintaining the confidentiality of account credentials and for all activity occurring under your account, except to the extent caused by our breach of these Terms or applicable law. You must promptly notify us of any suspected unauthorized access or security incident involving your account.
3. Customer Data
As between the parties, you or your organization retain all right, title, and interest in and to Customer Data submitted to the Services, except for the limited rights necessary for us to provide, secure, support, and improve the Services as permitted by law and agreement.
You represent that you have all rights, permissions, and authority necessary to submit Customer Data to the Services and to direct our processing of that data.
4. Healthcare and Regulated Data
The Services may be used to process regulated information, including healthcare-related information, subject to applicable agreements and law. You are responsible for determining whether your use of the Services satisfies your legal, regulatory, notice, consent, retention, and compliance obligations. The Services do not constitute medical, legal, billing, coding, or regulatory advice.
5. Acceptable Use
You may not:
- use the Services for unlawful, fraudulent, or deceptive purposes;
- attempt to gain unauthorized access to the Services, accounts, systems, or data;
- interfere with the security, integrity, or performance of the Services;
- upload or transmit malicious code, harmful content, or materials that violate law or third-party rights;
- reverse engineer, decompile, copy, or create derivative works from the Services except as expressly permitted by law or written agreement; or
- use the Services to benchmark or build a competing service without our prior written consent.
6. Service Changes, Availability, and Support
We may modify, update, enhance, or discontinue aspects of the Services from time to time. We will use commercially reasonable efforts to maintain service availability consistent with any written service commitments that apply to you. Scheduled maintenance, emergency maintenance, and circumstances beyond our reasonable control may affect availability.
7. Intellectual Property
The Services, including software, designs, workflows, interfaces, documentation, and related materials, are owned by us or our licensors and are protected by applicable intellectual property laws. Except for the limited rights expressly granted in these Terms or a written agreement, no rights are granted to you.
8. Feedback
If you provide suggestions, feedback, or ideas relating to the Services, we may use them without restriction or obligation, unless otherwise agreed in writing.
9. Disclaimers
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS EXCEPT AS EXPRESSLY SET FORTH IN A WRITTEN AGREEMENT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES PAID OR PAYABLE FOR THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) TEN THOUSAND U.S. DOLLARS (US $10,000.00), UNLESS A DIFFERENT LIMIT IS STATED IN A WRITTEN AGREEMENT.
11. Indemnity
You agree to defend, indemnify, and hold harmless the Company and its officers, directors, employees, and agents from and against third-party claims, losses, liabilities, damages, judgments, and expenses arising out of or relating to your unlawful use of the Services, your breach of these Terms, or your violation of third-party rights, except to the extent caused by our own breach or misconduct.
12. Suspension and Termination
We may suspend or terminate access to the Services if reasonably necessary to protect the security or integrity of the Services, comply with law, prevent harm, or address material violations of these Terms or applicable agreements. You may stop using the Services at any time, subject to any contractual commitments that apply.
13. Governing Law and Venue
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in [Miami-Dade County, Florida], and each party consents to the personal jurisdiction and venue of those courts.
14. Changes to These Terms
We may update these Terms from time to time. We will post the updated version on this page and revise the “Last updated” date above. Continued use of the Services after the effective date of updated Terms constitutes acceptance of the updated Terms.
